Website Terms of Use

These Terms of Use (the "Terms") govern access to and use of the website at 2birds.asia and every page, sub-domain and resource made available through it (the "Website"). The Website is operated by 2BIRDS PRIVATE LIMITED (UEN 202625717Z), a company incorporated in the Republic of Singapore with its registered office at 7 Temasek Boulevard, #12-07 Suntec Tower One, Singapore 038987 ("2BIRDS", "we", "us" or "our").

By accessing or using the Website, you ("you" or the "User") agree to be bound by these Terms. If you are accessing the Website on behalf of an organisation, you represent that you are authorised to bind that organisation, and "you" includes it. If you do not agree to these Terms, you must not use the Website.

These Terms apply to the Website only. Any professional services are provided solely under a written engagement letter signed by 2BIRDS and the client, together with our Terms of Engagement (each an "Engagement Letter"). Where these Terms and an Engagement Letter conflict, these Terms prevail unless the Engagement Letter expressly states otherwise.

In these Terms, "Content" means all text, data, images, video, graphics, layouts, software, marks and other material on the Website, and "SWDA" means the Skills and Workforce Development Agency of Singapore and any successor body.

Headings are for convenience only and do not affect interpretation. The words "include" and "including" are to be read without limitation. A reference to a statute includes any subsidiary legislation made under it and any amendment or re-enactment of it.

The Content is published for general information about 2BIRDS and the regulatory environment in which training providers operate in Singapore. It does not constitute legal, regulatory, financial, tax or other professional advice, and must not be relied upon as such.

No relationship of client and adviser arises from your use of the Website, from any enquiry you send us, or from any response we give to it, unless and until an Engagement Letter has been executed. You should obtain advice specific to your circumstances before acting, or refraining from acting, on any Content.

References on the Website to SWDA requirements, circulars, funding schemes, the Course Approval Skills List, the Training Provider Quality Assessment and related frameworks are summaries prepared in good faith as at the date of publication. Those frameworks are amended from time to time, and the official publications of SWDA and other competent authorities prevail in all cases.

Nothing on the Website represents or guarantees that any course, application or organisation will be approved, registered, funded or assessed at any particular grade. Those decisions rest solely with the competent authority.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable and revocable licence to view the Website and to print or download extracts of the Content for your own internal, non-commercial reference.

You may quote brief extracts of the Content in your own work, provided the extract is accurate, is not presented out of context, and is attributed to "2BIRDS, Singapore" with a link to the source page.

All intellectual property rights in the Website and the Content, including copyright, database rights and rights in the 2BIRDS name, wordmark and dove device, are owned by or licensed to 2BIRDS. All rights not expressly granted in these Terms are reserved.

Client names, logos and course titles that appear on the Website are the property of their respective owners and are shown with their permission or for identification only. Their appearance does not imply any endorsement of any third party by 2BIRDS, or of 2BIRDS by any third party.

The Website contains links to websites operated by third parties, including government portals. Those links are provided for convenience only. We have no control over, and accept no responsibility for, the content, availability or privacy practices of any linked website, and a link does not constitute an endorsement.

Any information you submit through the Website, including enquiries, consultation requests, newsletter subscriptions and practitioner applications, must be accurate and must not be confidential to any third party. Submitting information does not create any obligation on 2BIRDS to accept an engagement or an application.

We collect, use and disclose personal data in accordance with the Personal Data Protection Act 2012 and our Privacy Policy, which forms part of these Terms.

The Website and the Content are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we exclude all representations, warranties, conditions and other terms, whether express or implied, including as to accuracy, completeness, currency, satisfactory quality, fitness for a particular purpose and non-infringement.

We do not warrant that the Website will be uninterrupted, secure or free from errors, viruses or other harmful components, and you are responsible for implementing appropriate safeguards on your own systems.

To the fullest extent permitted by law, 2BIRDS, its directors, officers, employees and practitioners shall not be liable, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any loss or damage arising out of or in connection with the Website or any reliance on the Content, including any loss of profit, revenue, business, funding, goodwill, data or opportunity, and any indirect or consequential loss.

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited, including liability for fraud or for death or personal injury caused by negligence. Each exclusion and limitation in these Terms is intended to be reasonable for the purposes of the Unfair Contract Terms Act 1977 of Singapore, and is to be construed separately.

You agree to indemnify 2BIRDS against all losses, liabilities, costs and expenses, including reasonable legal costs, arising from your breach of these Terms or your unlawful use of the Website.

We may amend these Terms at any time by publishing a revised version on the Website, and the revised version takes effect on publication. Your continued use of the Website after that date constitutes acceptance of the revised Terms.

We may change, suspend or withdraw all or any part of the Website at any time and without notice, and we will not be liable to you for doing so.

If any provision of these Terms is held invalid or unenforceable, it shall be severed and the remaining provisions shall continue in full force. No failure or delay in exercising any right operates as a waiver of it. You may not assign or transfer your rights under these Terms.

A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 2001 to enforce any of its terms. These Terms are written in English. Where the Website is displayed in another language, the translation is provided for convenience only and the English version prevails.

These Terms, and any dispute or claim arising out of or in connection with them or the Website, whether contractual or non-contractual, are governed by the laws of the Republic of Singapore.

The courts of the Republic of Singapore have exclusive jurisdiction to determine any such dispute or claim, save that 2BIRDS may seek injunctive or other urgent relief in any court of competent jurisdiction.
