These Terms of Use (the "Terms") constitute a binding agreement between Twobirds, an unincorporated community of independent practitioners based at 7 Temasek Boulevard, #12-07 Suntec Tower One, Singapore 038987 (hereinafter "Twobirds", "we", "us" or "our"), and the natural or juridical person accessing the website published at 2birds.asia (the "Website", and such person, the "User").
By accessing the Website, the User shall be deemed to have read, understood and agreed to be bound by these Terms.
Where the User does not agree to these Terms, the User must refrain from accessing the Website.
Nothing in these Terms or on the Website shall constitute the giving of legal, accounting, regulatory or other professional advice in respect of any specific matter. Twobirds is a community of independent practitioners and does not itself render professional advisory services; where curriculum development, compliance or related services are engaged, those services are undertaken by an individual practitioner within the Twobirds community, pursuant to a separate engagement letter executed between such practitioner and the client (the "Engagement Letter").
I.Purpose and Scope of the Website
1.1The Website is published for the purposes of (a) introducing Twobirds and its practice areas, (b) inviting correspondence from prospective clients, candidates and members of the public, and (c) furnishing general information concerning the regulatory and educational frameworks within which Twobirds operates.
1.2No content on the Website shall be construed as an offer to contract, a representation of fact in respect of any particular matter, or an undertaking to provide services other than upon the execution of an Engagement Letter.
2.1The User is granted a limited, non-exclusive, non-transferable and revocable licence to access the Website, to read its contents, and to link to any of its pages, in each case for the User's own lawful, non-commercial purposes.
2.2The User may quote short passages of text appearing on the Website, in correspondence, articles or training materials of the User's own preparation, provided that each such quotation: (a) is limited to such length as is necessary for the purpose; (b) is reproduced faithfully and not out of context; and (c) is attributed to "Twobirds, Singapore", with a working hyperlink to the source page on the Website.
2.3The User shall not republish, reproduce or otherwise exploit the Website in whole, or any substantial part thereof, without the prior written consent of Twobirds.
III.Intellectual Property
3.1All right, title and interest in and to the Website, including without limitation the text, images, mark, monogram, typographic system, editorial voice, and underlying source code, shall remain vested in Twobirds or its licensors.
3.2The wordmark, the monogram and the trade dress of Twobirds are not licensed for use by third parties. Any proposed reference to Twobirds by reproduction of its mark shall be the subject of prior written application to Twobirds at
hello@2birds.asia, who shall furnish the correct lockup and a permitted-use note.
3.3The User shall not copy, reproduce, transcribe, screenshot, scrape, download (other than by means of ordinary browser caching), republish, redistribute, broadcast, modify, adapt, translate, prepare derivative works of, or commercially exploit the Website or any part thereof, whether in printed, electronic or any other form, without the prior express written consent of Twobirds.
3.4The User shall not use the Website or any of its contents to train, fine-tune, evaluate or otherwise inform any machine-learning model, large language model or other automated system, save with the prior express written consent of Twobirds.
3.5Any unauthorised copying, reproduction or exploitation of the Website constitutes an infringement of the intellectual property rights of Twobirds and shall entitle Twobirds to seek all remedies available to it at law and in equity, including injunctive relief, damages and an account of profits.
IV.Accuracy, Currency and External Links
4.1The notes, summaries, references to legislation and references to regulatory frameworks appearing on the Website are prepared with reasonable care, but the law, the SSG framework and related professional rules are subject to amendment from time to time. Twobirds does not warrant that the contents of the Website are current as at the date of any particular access.
4.2Where a decision or course of action depends upon the position of the law as it stands as at the date thereof, the User shall apply to Twobirds in writing for confirmation, and shall not rely on the Website to that end.
4.3Links to external websites are provided for the User's convenience only. Twobirds is not responsible for the content of any linked site, and the inclusion of a link shall not constitute an endorsement thereof.
V.Disclaimer and Limitation of Liability
5.1The Website is provided on an "as is" and "as available" basis. To the maximum extent permitted by the laws of Singapore, Twobirds excludes all conditions, warranties and representations, whether express or implied, statutory or otherwise, in connection with the Website and its contents.
5.2Twobirds, its principals, partners, employees and contractors shall not be liable to the User in contract, in tort (including negligence), under statute or otherwise for any direct, indirect, consequential or punitive loss, cost or damage arising out of or in connection with the User's access to or use of the Website.
5.3Liability for services rendered by any individual practitioner within the Twobirds community is governed exclusively by the Engagement Letter in respect of those services, and not by these Terms.
5.4Nothing in this Article V shall operate to exclude or limit any liability which cannot lawfully be excluded or limited, including liability for fraud, fraudulent misrepresentation, or personal injury caused by negligence.
6.1The User shall indemnify and hold harmless Twobirds against all liabilities, costs, expenses, damages and losses (including any reasonable legal costs and expenses) suffered or incurred by Twobirds arising out of or in connection with any breach by the User of these Terms.
7.1Twobirds reserves the right to amend these Terms from time to time. The version then in force shall be that published on the Website. The User's continued access to the Website following any such amendment shall constitute acceptance thereof.
VIII.Governing Law and Jurisdiction
8.1These Terms, and any dispute or claim (whether contractual or non-contractual) arising out of or in connection with them or their subject matter or formation, shall be governed by and construed in accordance with the laws of the Republic of Singapore.
8.2The courts of the Republic of Singapore shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms, save that Twobirds reserves the right to bring proceedings against the User for breach of these Terms in the country of the User's residence or in any other relevant country.
